Statement of Information


California corporations are required to file statements of information with the Secretary of State.  These are statements  concerning the officers/directors and agent for service of process. The form can be filed online. There is a small fee due with the filing.  The Secretary of State will send out a small postcard reminding the corporation to file the form and providing its due date.  Due to its size, it is very easy  to lose the post card in which case the statement may not be filed. Failure to file the form results in a $250 penalty assessed by the California Franchise Tax Board. So, it is important that you watch for the postcard and file the statement timely.
